TERMS AND CONDITIONS
TECH REALTY GROUP (TRG)
Applicable within the Federal Republic of Nigeria
Effective Date: 01/03/2026


1. LEGAL FRAMEWORK


All property transactions facilitated by Tech Realty Group (“TRG”) shall comply with:
•    Land Use Act 1978
•    Applicable State Land Registration Laws
•    Tenancy Laws of the relevant State
•    Stamp Duties Act
•    Capital Gains Tax Act
•    Personal Income Tax Act / Companies Income Tax Act (where applicable)
•    Any other applicable Nigerian legislation

2. LANDED PROPERTY SALES (BUYING)


2.1 Title & Ownership
Under the Land Use Act 1978, all land in Nigeria is vested in the Governor of each State.
•    Buyers acknowledge that ownership is subject to:
o    Certificate of Occupancy (C of O)
o    Governor’s Consent (for transfer of title)
o    Deed of Assignment
o    Registered Survey Plan
o    Excision or Gazette (where applicable)
TRG shall assist with document verification but does not guarantee title authenticity unless engaged formally for due diligence services.

2.2 Due Diligence
Buyers are strongly advised to conduct:
•    Land registry search
•    Survey plan verification
•    Court litigation search
•    Physical site inspection
TRG shall not be liable for failure of the Buyer to conduct independent verification.

2.3 Payment Terms
•    Initial deposit is required to secure property.
•    Full payment must be made within agreed timeframe.
•    All payments must be made to authorized TRG or Seller-designated accounts only.
•    Statutory fees (Governor’s Consent, registration, stamp duty, etc.) are borne by the Buyer unless otherwise agreed.

2.4 Transfer of Title
Transfer is deemed complete only after:
•    Execution of Deed of Assignment
•    Payment of stamp duties
•    Registration at the State Land Registry
•    Governor’s Consent (where required)

3. LANDED PROPERTY SALES (SELLING)
3.1 Disclosure Obligation
Sellers must disclose:
•    Existing encumbrances
•    Mortgages or liens
•    Ongoing disputes
•    Government acquisition status
Failure to disclose material facts may result in termination and legal action.

3.2 Commission
•    TRG commission rate shall be stated in the Listing Agreement.
•    Commission becomes payable upon successful sale.
•    Commission remains due if property is sold to a Buyer introduced by TRG within the listing period.

3.3 Capital Gains Tax
Sellers are responsible for applicable Capital Gains Tax (CGT) under Nigerian tax laws.

4. RESIDENTIAL RENTALS (HOUSES & APARTMENTS)
 

4.1 Tenancy Agreement
All rentals shall be governed by a written Tenancy Agreement compliant with the Tenancy Law of the applicable State.
The agreement shall state:
•    Rent amount
•    Duration (e.g., 1 year)
•    Renewal terms
•    Notice period

4.2 Rent Advance
Where applicable under State law:
•    Rent shall not exceed the legally permitted advance period (e.g., Lagos discourages excessive multi-year rent demands).

4.3 Security Deposit
•    Tenants must pay a refundable caution fee.
•    Deductions may apply for:
o    Property damage
o    Unpaid utility bills
o    Breach of lease terms

4.4 Tenant Obligations
Tenants shall:
•    Use property for lawful residential purposes only
•    Avoid subletting without written consent
•    Maintain property in good condition
•    Pay rent promptly

4.5 Landlord Obligations
Landlords shall:
•    Ensure property is fit for habitation
•    Provide peaceful enjoyment
•    Handle structural repairs

5. HOTEL & SHORT-LET APARTMENTS
5.1 Booking & Payment
•    Full or partial payment is required before check-in.
•    Valid ID may be required.
•    Cancellation policy shall be clearly stated at booking.

5.2 Damage & Conduct
Guests are liable for:
•    Property damage
•    Theft
•    Illegal activities on premises
TRG reserves the right to terminate stay without refund for misconduct.

6. PROPERTY MANAGEMENT SERVICES
Where TRG is appointed as Property Manager:
•    Rent collection services
•    Maintenance coordination
•    Tenant screening
•    Reporting to landlord
Management fees shall be outlined in a separate agreement.
TRG is not liable for tenant default unless expressly stated.

7. DEFAULT & TERMINATION
In cases of:
•    Rent default
•    Breach of sale agreement
•    Misrepresentation
TRG reserves the right to terminate services and pursue legal remedies.
Eviction procedures shall follow due process under the applicable State Tenancy Law (including statutory notice requirements).

8. LIMITATION OF LIABILITY
TRG shall not be liable for:
•    Government land revocation under the Land Use Act
•    Market fluctuations
•    Acts of force majeure
•    Fraudulent documentation supplied by third parties

9. DISPUTE RESOLUTION
Parties agree to:
1.    Attempt amicable settlement
2.    If unresolved, refer to mediation or arbitration
3.    If still unresolved, submit to a competent Nigerian court within the State of transaction

10. ANTI-FRAUD POLICY
•    All payments must be verified.
•    TRG shall not be responsible for payments made to unauthorized individuals.
•    Clients must confirm bank details directly with TRG official channels.

11. DATA PROTECTION
TRG shall comply with:
•    Nigeria Data Protection Act (NDPA 2023)
All personal information shall be handled confidentially.

12. ACCEPTANCE
Engaging in any transaction with Tech Realty Group constitutes acceptance of these Terms and Conditions under Nigerian law.
